1. Definitions
- "The Software" refers to the VirtuaMesh virtual networking software, including the desktop client, mobile client, control plane service, and accompanying web management interface.
- "We" refers to the developer and licensor of the VirtuaMesh software.
- "You" refers to the end user of the Software, i.e., the natural person or legal entity that downloads, installs, and uses the Software.
- "Control Plane" refers to the VirtuaMesh control plane service deployed on your own server, responsible for management functions such as node registration, authentication, and key exchange coordination.
- "Virtual Network" refers to the logical network established through the Software, enabling network devices distributed across different physical locations to communicate as if they were on the same local area network.
2. Service Description
VirtuaMesh is enterprise-grade virtual networking software that helps users establish secure virtual local area networks within their own infrastructure. The core features of the Software include:
- End-to-end encrypted tunnels based on the WireGuard protocol
- Hybrid networking mode supporting both P2P direct connection and DERP relay
- Cross-platform client support (Windows, Linux, macOS, Android)
- Centralized network management and node authorization
- Subnet routing and exit node functionality
- Role-based access control and traffic rules
3. User Eligibility
You must meet the following conditions to use the Software:
- You are a natural person with full civil capacity, or a legally existing legal entity or non-legal-person organization.
- If you use the Software on behalf of an enterprise, you have obtained lawful authorization from that enterprise.
- The laws of your country or region permit you to use virtual networking and encrypted communication software.
- You have read and agree to this Agreement and the Privacy Policy.
4. Software License
4.1 Grant of License
Subject to your compliance with the terms of this Agreement, we grant you a non-transferable, non-exclusive, revocable license to install and use the Software on devices within the authorized scope.
4.2 Commercial Closed Source
4.3 License Restrictions
You shall not:
- Copy, sell, rent, lend, or otherwise distribute any part of the Software.
- Modify, adapt, or create derivative works of the Software.
- Remove or alter any copyright notices, trademark identifiers, or other rights notices within the Software.
- Use the Software for purposes beyond the scope of the authorized license.
4.4 Subscription and Payment
The Software is available in both free and paid editions. The paid edition is priced based on the number of nodes, the number of networks, and the feature tier; for details, please refer to the pricing page. Subscription fees paid are non-refundable during the subscription period, unless otherwise expressly agreed.
5. User Obligations
You shall observe the following obligations when using the Software:
- Lawful Use: You shall ensure that the purpose and manner of your use of the Software comply with applicable laws and regulations, and shall not use the Software for any illegal activities.
- Account Security: You shall properly safeguard the network invitation code, node credentials, and keys. You shall bear the security liabilities arising from your failure to safeguard them.
- Compliant Deployment: You shall deploy the control plane within the scope permitted by laws and regulations, ensuring that your deployment does not constitute public network operation.
- Cooperation with Management: You shall cooperate with the management requirements of network administrators, update the client version in a timely manner, and comply with network traffic rules.
- Data Backup: You shall regularly back up the control plane data you deploy yourself. We are not liable for data loss caused by your failure to perform backups.
6. Prohibited Conduct
You shall not engage in any of the following conduct when using the Software:
- Using the Software to engage in activities that endanger national security or undermine public interest.
- Using the Software to disseminate illegal, obscene, violent, or infringing content.
- Accessing another party's network or system without authorization.
- Reverse engineering, decompiling, or attempting to obtain the source code of the Software.
- Engaging in secondary development, modification, or creation of derivative works of the Software.
- Interfering with or disrupting the normal operation of the Software, or attempting to access the control plane without authorization.
- Using the Software as a public VPN operating service to provide network access services to the general public.
7. Intellectual Property
The intellectual property rights in the Software and all of its components (including but not limited to source code, binary files, icons, interface design, documentation, and trademarks) are owned by us and protected by copyright law, trademark law, and other applicable laws and regulations.
The data generated by you in the course of using the Software (such as network configuration and node information) belongs to you. We do not claim any rights to your business data.
"VirtuaMesh", the VirtuaMesh logo, and related trademarks are our trademarks or registered trademarks and may not be used without written permission.
8. Disclaimer
8.1 Service Availability
The control plane of the Software is deployed by you. We do not guarantee the continuous availability of the control plane service. Service interruptions caused by network failures, server maintenance, hardware failures, or other reasons shall be borne by you.
8.2 Third-Party Services
The Software may rely on third-party libraries and components (such as the WireGuard protocol implementation). We make no warranty regarding the performance, security, or compatibility of such third-party components.
8.3 Data Security
Although the Software employs industry-leading encryption technology to protect your data security, no security measure can guarantee absolute security. We are not liable for data breaches caused by force majeure, system vulnerabilities, or your improper use.
8.4 Merchantability and Fitness for a Particular Purpose
The Software is provided "as is", without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by applicable law, we shall not be liable for any direct, indirect, incidental, special, or consequential damages (including data loss, business interruption, loss of profits, etc.) arising from your use of or inability to use the Software.
In no event shall our aggregate liability to you exceed the total subscription fees actually paid by you to us in the twelve (12) months preceding the dispute.
10. Service Changes and Termination
10.1 Service Changes
We reserve the right to change, upgrade, or discontinue any functional module of the Software at any time. Material functional changes will be notified to you in advance. You have the right to choose whether to accept such changes; if you do not accept them, you may stop using the Software and deregister your node.
10.2 Termination of Agreement
In the following circumstances, we have the right to terminate this Agreement and cease providing the license to you:
- You have materially breached the terms of this Agreement and have not remedied the breach after notice.
- You have used the Software for illegal purposes.
- Your subscription has expired and has not been renewed (affecting paid features only).
- Required by laws and regulations or by order of a regulatory authority.
10.3 Post-Termination Obligations
Upon termination of this Agreement, you shall immediately cease using the Software, uninstall all clients, and destroy all copies. Your data will be purged from your control plane within 30 days after termination.
11. Dispute Resolution
The formation, effectiveness, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China (excluding the laws of the Hong Kong Special Administrative Region, the Macao Special Administrative Region, and the Taiwan region).
Any dispute arising out of this Agreement shall first be resolved through friendly consultation between the parties. If consultation fails, either party shall have the right to bring a lawsuit before a people's court with jurisdiction over our location.
12. Miscellaneous
12.1 Entire Agreement
This Agreement (together with the Privacy Policy) constitutes the entire agreement between you and us regarding the use of the Software and supersedes all prior oral or written communications.
12.2 Severability
If any provision of this Agreement is determined to be invalid or unenforceable, the validity of the other provisions shall not be affected. The parties shall negotiate a substitute provision in good faith.
12.3 Notices
We may send notices to you through client notifications, management console announcements, or email. Important notices will also be published on the control.virtuamesh.com website.
12.4 Agreement Changes
We reserve the right to modify this Agreement at any time. The modified Agreement will be published on this page with an updated "Last updated" date. Your continued use of the Software constitutes acceptance of the modified Agreement.
